LAKEWOOD, CO-Feb 9, 2009 - Colorado Goldfields Inc. orders exchange of its Common shares for Class A Common shares. The Company refined its earlier announced share reclassification of January 13, 2009 in a submission to NASDAQ providing that Common shares be exchanged for Class A Common shares. On the anticipated effective date of February 18, 2009, all Common shares bearing CUSIP 19647Y203 shall be exchanged for Class A Common shares bearing CUSIP 19647Y302. It is a securities violation under the Securities Exchange Act of 1934, as amended ("Exchange Act"), Rule 10-21, to employ Class A Common shares as a cover for fails to deliver in Colorado Goldfields Inc. Common shares.
